Saskatoon, SK (February 7, 2011) — Foran Mining Corporation
(TSX.V: FOM) (“Foran” or the “Company”) is pleased to announce a brokered private placement of securities through a syndicate of agents to be led by Scotia Capital Inc. and GMP Securities L.P. (the “Agents”), in which the Agents will raise up to C$6,300,000 in common shares (the “Common Shares”) on a reasonable commercial efforts basis (the “Offering”) at a minimum price of C$1.05 per Common Share. The Offering is scheduled to close on or about March 7, 2011. The Agents will receive a cash commission representing 6% of the gross proceeds of the sale of the Common Shares.
The Company also proposes to complete, concurrently with the Offering, a non-brokered private placement of up to 6,000,000 flow-through common shares at a price to be determined in the context of the market. Closing is expected to take place on or before March 7, 2011.
The net proceeds from the sale of the Common Shares will be used for exploration and general working capital purposes.
All securities issued in connection with the Offering will be subject to a four-month hold period. Completion of the Offering is subject to a number of conditions including completion of satisfactory due diligence investigations and receipt of all necessary regulatory approvals.
